Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the smbit.support website (the “Site”), operated by AI Cyber Experts LLC d/b/a SMB IT Support (“we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Eligibility

The Site is intended for businesses and for individuals who are at least 18 years old and able to form a binding contract. By using the Site you represent that you meet these requirements and that any information you provide is accurate and that you are authorised to provide it.

Our services and separate agreements

The Site describes our managed IT, cybersecurity, cloud, AI, and related services for general informational purposes. Nothing on the Site is an offer, a binding quote, or a contract for services. Any engagement, and the scope, deliverables, service levels, fees, and terms that apply to it, are governed solely by a separate written services agreement signed by both parties. If anything on the Site conflicts with that agreement, the signed agreement controls.

Pricing and estimates

Any pricing, package, or estimate shown on the Site — including amounts generated by our cost estimator — is indicative only, may assume certain conditions (such as user counts, device mix, or compliance requirements), and may change without notice. It does not constitute a binding quote or an offer capable of acceptance. Your actual price is confirmed only in a written services agreement.

No professional advice

Information on the Site is provided for general guidance and does not constitute professional, legal, security, compliance, or financial advice for your specific situation, and should not be relied upon as such. You are responsible for your own decisions. Engage us or another qualified professional for advice tailored to your circumstances.

Acceptable use

You agree to use the Site only for lawful purposes and not to: violate any law or third-party right; interfere with, disrupt, or attempt to gain unauthorised access to the Site, our systems, or related networks; probe, scan, or test the vulnerability of the Site or breach any security or authentication measure without our prior written consent; introduce malware or harmful code; scrape, harvest, or collect data by automated means without our consent; misrepresent your identity or affiliation; or use the Site to send unsolicited communications. We may suspend or terminate access for any actual or suspected misuse.

Submissions and communications

You are responsible for the accuracy of information you submit. If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction or obligation to you. See our Privacy Policy for how we handle calls and text messages, including your ability to opt out of texts by replying STOP.

Intellectual property

The Site and its content, branding, logos, text, graphics, layout, and design are owned by us or our licensors and are protected by intellectual-property and other laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for your internal business evaluation. You may not copy, reproduce, republish, frame, scrape, modify, distribute, or create derivative works from the Site without our prior written permission. All rights not expressly granted are reserved.

Third-party links and tools

The Site may link to, or embed tools from, third parties (such as scheduling, chat, forms, or maps). We do not control and are not responsible for the content, products, practices, or availability of those third parties, and their terms and privacy policies apply to your use of them.

Disclaimer of warranties

The Site is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any information on it is accurate, complete, or current. Any reliance on the Site is at your own risk.

Limitation of liability

To the fullest extent permitted by law, in no event will SMB IT Support or its owners, employees, contractors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Site, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless SMB IT Support and its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

Governing law and venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to informal resolution below lies in the state or federal courts located in Durham County, North Carolina, and you consent to their personal jurisdiction.

Dispute resolution

Before filing any claim, you agree to first contact us at hello@smbit.support and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any claim must be brought within one (1) year after it arises, to the extent permitted by law, or it is permanently barred.

Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.

Entire agreement and assignment

These Terms and our Privacy Policy are the entire agreement between you and us regarding the Site and supersede any prior understandings about it. We may assign these Terms; you may not assign them without our consent.

Changes to these terms

We may update these Terms from time to time by posting the revised version here with a new effective date. Your continued use of the Site after changes means you accept the revised Terms.
